SECTION 8. That at the borough election first held after the passage First election, of this act, the election for the Upper Ward and Lower Ward shall be how conducted. opened and conducted by the officers authorized to open and conduct said elections as if this act had not passed, and it shall further be the duty of the officers conducting the election for the Lower Ward, to provide separate boxes for the Middle Ward, in which they shall deposit the votes of the citizens residing in said Middle Ward, and the returns for said Middle and Lower Wards, respectively, shall be made out and certified by said officers conducting the election for the Lower Ward; and all elections after said first election shall be conducted by the proper officers of each Ward, as provided by the fifth section of the act dividing said borough into two wards.

SECTION 9. That hereafter the house and lot of ground belonging to House and lot the "Union library company of Hatborough," in Mooreland township, exempt from Montgomery county, and now occupied by said company for the use of taxation. the library and the accommodation of the librarian, be, and the same is hereby exempted from taxation except for State purposes.

AN ACT

To incorporate the Frankford Odd Fellows' Hall Association; and relating to the boundary line of the district of Kensington, in the county of Philadelphia.

WHEREAS, Certain citizens of this Commonwealth, hereinafter named, have associated together for the purpose of erecting an Odd Fellows' Preamble. hall, in the borough of Frankford, in the county of Philadelphia, and have with certain money raised by issuing certificates of stock, purchased a lot or piece of ground in the said borough, whereon to erect a hall for the use and accommodation of various lodges and encampments of the Independent Order of Odd Fellows; therefore,

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That Edward G. shall have perpetual succession, and be able to sue and be sued, plead and be impleaded, answer and be answered, defend and be defended in all courts of law or equity within this Commonwealth and elsewhere, and to take and to hold to them and their successors, either by gift, grant, devise, or lease any lands or real estate for the use of said asso ciation, and also to take and hold for the use of said association any goods and chattels, sum and sums of money by gift, grant, bargain, and sale, will, devise, or bequest from any person or persons whatsoever capable of making the same and the same at pleasure to grant, bargain, and sell for the use of the said association, and generally to do and perform all and singular the matters and things which shall be lawful for' them to do and perform for the well being and due management of the affairs of said corporation: Provided, That the real estate of which said corporation shall at any time be possessed, shall not exceed the clear yearly value of three thousand dollars: And provided also, That the certificates of stock already issued by the persons and for the purposes herein before mentioned shall be assumed by the said "The Frankford Odd Fellows' Hall Association," who shall pay the interest now due or that may hereafter become due on the same, the liability of the said association for said interest, and the redemption of said certificates to be the same as if they had been issued by the said association in virtue of law And provided also, That from and immediately after the passage of this act, the title of the said lot or piece of ground shall be vested in "The Frankford Odd Fellows' Hall Association," as fully to all intents and purposes as the same is held by the persons hereinbefore mentioned.

SECTION 2. That the persons herein before named are hereby appointed commissioners to do and perform the several acts and things hereinafter mentioned, that is to say they or such of them as shall act in the premises, not less than three, shall as soon as conveniently may be after the passage of this act, procure and open a suitable book or books at such time and place as they shall designate in the borough of Frankford, of which time and place at least ten days' previous public notice shall be given in one or more newspapers published in the said borough, and also in one or more newspapers published in the city of Philadelphia, in which book or books they shall enter as follows: "We, whose names are hereunto subscribed, do promise to pay to the trustees and company of the Frankford Odd Fellows' hall association the sum of five dollars for each and every share of stock set opposite to our respective names, in such manner and proportions, and at such times as shall be determined by the trustees of said associations; witness our hands and seals the Anno Domini, one thousand eight hundred and fifty-two;" and at the time and place so designated and named in the public notices to be given as aforesaid, the said commissioners, by themselves or by committee, to be by them appointed, shall attend for the purpose of opening the said books, and to receive subscriptions for stock, and the said books shall be kept open at least six hours on such day, at the time and place designated in the public notices to be given as aforesaid, and in case four thousand shares of stock, being the capital stock of said association, be not all sold on the day of the first opening of the books, the number remaining unsold may afterwards be disposed of at such time and place, and under such regulations as the trustees for the time being may order: Provided, That no subscription for such stock shall be valid, unless the party or parties making the same shall, at the time of subscribing, pay to said commissioners one dollar on each and every share by him or them subscribed for the use of the association.

SECTION 3. That the stockholders shall meet annually on the first Annual election. Monday of January, and by ballot, elect seven trustees, citizens and residents of said borough, to conduct and manage the affairs of said association, who shall serve for one year, and until their successors are elected; the persons having the highest number of votes polled shall be declared duly elected; notice of the time and place of holding such elec tion shall be given in such manner as the by-laws shall provide, and in case of death, resignation, or inability to serve growing out of any other cause, there shall be a vacancy in the board of trustees, then and in such case a special election shall be held to fill such vacancy in such manner as the by-laws shall provide: Provided, That the trustees and Proviso. officers now managing the affairs of the Frankford Odd Fellows' hall association shall continue as trustees and officers of the corporation hereby created, until the regular election shall be held as herein before provided on the first Monday of January, one thousand eight hundred and fifty-three.

SECTION 4. That the object of said association shall be to erect and Object. furnish a hall or suitable building upon the lot or piece of ground heretofore purchased as aforesaid, for the accommodation of the various lodges and encampments of the Independent Order of Odd Fellows' of the borough of Frankford, and in the county of Philadelphia, established or to be established there, and suitable also for a room to be used for public meetings and for a library.

SECTION 5. That it shall be lawful for the said corporation to have Seal. a common seal, and the same at will and pleasure to change, alter and renew as they shall think proper, and shall have and exercise all the rights, privileges, and immunities necessary for the purposes of the corporation hereby constituted and as herein expressed.

SECTION 6. That the trustees for the time being, or a majority of Powers. them, shall have power to carry out the objects of the association as herein before expressed, to elect a president from their own body, to elect a treasurer and secretary, and to appoint such other officers and agents as they shall deem necessary to carry out the objects aforesaid, conduct and execute the business and affairs of said association, to fix their compensation, and in their discretion to dismiss them, to provide for the investment of the funds of the association in such manner as they shall deem most safe and beneficial, to provide for the payment of all the necessary expenses, of conducting the affairs of the association, and generally to pass all by-laws as shall be necessary to the exercise of said powers, and of other powers vested in said association, and the said by-laws from time to time to alter and repeal: Provided, That such by-laws Proviso. shall not be contrary to the Constitution and laws of this Commonwealth or of the United States.

SECTION 7. That it shall be the duty of the trustees, at least once in Annual stateeach year, to prepare a full and correct statement of the financial con- ment of affairs. dition of the association, and present the same to the stockholders at the annual meeting for their inspection, and it shall be the duty of the trustees on the last Mondays of June and December, in each year, to make and declare a dividend of the interest and profits of said association, after paying all expenses, and the same to pay over to the stockholders or legal representatives within fifteen days thereafter.

SECTION 8. That the Legislature hereby reserves the right to alter or amend the charter of the Frankford Odd Fellows' hall association wherever in their opinion it may be injurious to the citizens of this Commonwealth, in such manner however that no injustice shall be done to the corporators.

SECTION 9. That the ninth section of an act entitled "An Act authorizing the trustees of the estate of James Whitehead, deceased, to sell certain real estate and ground rents; authorizing John C. Whitehead, administrator de bonis non of Rebecca Redman, to sell real estate; relative to the estate of Henry Nagle, of Philadelphia county; to the sale of malt liquors in Clarion county; and to the mutual beneficial insurance association of Bucks county; the boundary line of the district of Kensington; and to the sale of hardware by card, sample, or otherwise," approved the seventh day of April, Anno Domini, one thousand eight hundred and fifty-two, shall not go into effect until approved or ratified by the commissioners of Richmond and Kensington districts.

AN ACT

To incorporate the Harrisburg Literary Institute.

SECTION 1. Be it enacted by the Senate and House of Representatives of the Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted by the authority of the same, That all such persons as now are, or hereafter may become in the manner hereinafter prescribed, members of a certain literary association at present existing in Harrisburg, be, and they are hereby constituted a body politic and corporate, by the name, style and title of "The Harrisburg Literary Institute," and by that name shall have perpetual succession, and be able to sue and be sued, implead and be impleaded, in any court of competent jurisdiction, and shall be able to purchase, receive, have, hold, and enjoy to them and their successors, lands, tenements, and hereditaments, goods, and chattels, rights and credit, of what nature or estate soever, and the same or any part or parts thereof to sell, alien or dispose of, and therefore, when sold, aliened, or disposed of to execute according to law, good and sufficient instruments of conveyance or assurance, and generally to make all and any contracts requisite to the good management of the said institute, with power also to make such by-laws and regulations, as to them may seem necessary for the like good management of the property of said institute, and to make and have a common seal and the same to renew at pleasure: Provided, That the by-laws and regulations which may be made by the said institute be not inconsistent with the Constitution or laws of the United States or of this Commonwealth.

SECTION 2. That the said institute shall, for the benefit of its mem- System of bers, establish a system of lectures, and hold stated meetings for read- lectures. ing, discussion, and conversation, illustrative of the useful arts and natural sciences, and as soon as convenient it shall procure collections of suitable books and apparatus, models, and other specimens of works of nature and art, in manner and form hereinafter provided.

SECTION 3. That when any person shall pay to the treasurer annu- Membership. ally the sum of two dollars, in quarterly payments of fifty cents each, in advance, he shall become a member of said institute, and any person paying the sum of fifteen dollars to the treasurer of said institute shall be constituted a life member thereof; all contributors to the institute shall be constituted honorary members thereof; any person under twenty-one years of age shall be admitted to membership upon payment as before provided of one dollar: Provided, The permission of Proviso. their parents, masters, or guardians, shall be obtained: And provided Proviso. further, That no person under twenty-one years of age shall be permitted to vote at the meetings of the institute.

SECTION 4. That the said institute shall at all times receive and so- Contributions. licit contributions of useful books, models, and works of nature and art, which shall be placed in suitable cases in their hall for the use and benefit of the members of the institute; the name of the donor and character of the contribution shall be entered in a book provided for

that purpose.

SECTION 5. That the officers of said institute shall be a president, Officers. vice president, recording secretary, corresponding secretary, treasurer, librarian, curator, and five managers, and shall be chosen on the first Monday in August next, and annually thereafter: Provided, That the Proviso. present officers of said institute shall continue in office until the next annual election.

SECTION 6. That the president, vice president, and recording secre- Duties of offitary shall fulfil the duties usually performed by those officers, whether eers. in general meetings of the institute or in meetings of the board of managers, of which they shall be ex-officio members, and the treasurer who shall also be ex-officio a member of the board of managers, shall have charge of the funds of the institute, after giving approved security for the same, and shall pay no orders unless signed by the president and attested by the recording secretary; the corresponding secretary shall have charge of all the correspondence of the institute, and the librarian, in connection with the curator shall take charge of the rooms and other property of the institute, and make quarterly reports to the board of managers of the state of the library and cabinet.

SECTION 7.
