To the Honorable Legislature of the Commonwealth of Massachusetts.

The Directors of the Andover and Wilmington Rail-road Corporation, do hereby make their second annual report of their acts and doings, receipts and expenditures, under their act of incorporation.

The first division of their road, from the Boston and Lowell Rail-road, in Wilmington, to the South Parish in Andover, being seven and three-fourth miles, was opened for use on the eighth day of August last. Since that time, two trips between Andover and Boston have been made with the passenger cars each day, (Sundays excepted) without interruption, except in three instances during the present month, when prevented by the accumulation of ice and snow on the rails. At the depot in Andover, there have been erected and completed, an engine-house and repair-shop, a car-house, a work-shop for building and repairing cars, and a passenger-house. The second division of their road has been definitely located to within about one mile of Haverhill village. This distance has been left for the purpose of ascertaining the best point at which to cross the Merrimack, and pass that village to the line of New Hampshire, in order to connect with the Boston and Maine Rail-road, a portion of which road, it is understood, the directors expect to put under contract during The second division, so far as located, is all graded but about one mile, partly deep cutting, on

which as many hands are employed as can work advantageously, and will be completed early in the spring. A part of the materials for the superstructure is contracted for, and arrangements are now making for the whole, and the road will probably be opened for use in the course of the next summer. The directors have on hand, locomotives and passenger cars sufficient for the probable business of the whole road; and merchandize cars partly sufficient for the business of the road, have been built at our depot, and an additional number are now building.

Nine assessments have been laid on the capital stock, payable prior to the date of this report, amounting to eighty-one dollars on each share. From these assessments, the treasurer has received, as appears by his books, to the twenty-first of January instant, the sum of one hundred and sixty thousand two hundred and thirty-five dollars, eighteen cents. The treasurer has received from sundry loans and advances the sum of forty-three thousand dollars. There has been received at Andover and Boston, for the transportation of passengers, to the twenty-first instant, ten thousand eight hundred and thirty dollars, eight cents. Two thousand nine hundred twentyfive dollars, seventy-three cents, is charged as expense of transportation of passengers and freight. But, as the amount to be paid to the Boston and Lowell Rail-road Corporation, for the use of their road, has not been adjusted, the directors are not able at this time to state the amount of net receipts. About fourteen hundred dollars has accrued from the transportation of merchandize, since freight cars have been placed on the road.

The treasurer has on hand, in cash, notes and unsettled balances, fourteen thousand eight hundred fifteen dollars, twenty-two cents.

The expenditures to the same date amount, as appears by the treasurer's books, to the sum of one hundred ninety-six thousand nine hundred thirty-two dollars, eight cents. Of this sum, sixty-four thousand thirty-nine dollars, ten cents, is for grading. For masonry, sixteen thousand one hundred fourteen dollars, fifty-three cents. For iron rails, including spikes, plates, &c. forty-seven thousand one hundred seventy-four dollars, ninety-two cents. Laying rails, &c. six thousand twenty-eight dollars, seventy-four cents. For real estate, including damages for land, fencing, depot-buildings and work-shops, twenty-three thousand eight dollars, thirty-seven cents. For sleepers and timber for bridges, three thousand seventy-eight dollars, thirty-six cents. For engines and cars, twenty-four thousand two hundred sixty-six dollars. Incidental expenses and engineering, thirteen thousand two hundred twenty-two dollars, six cents.
